Fees for Services: Monthly plans are based on user accounts, HTML templates and contacts. Pricing and fees may be changed from time to time. If any part of a month is included in the Term, then payment is due for the full month. First payment is due when your account is created and following payments are due on the final day of each month. If you exceed your sending limit or add more users, you will be upgraded to the next subscription and billed in the next month’s statement.
Taxes: We collect and remit sales tax from our customers located in certain state and local jurisdictions, including those jurisdictions where software delivered as a service is taxable and where we maintain a physical presence. We determine your local taxing jurisdiction based on your billing address.
Price Changes: Molecule Connect may change our fees at any time and must immediately send you a notification by email or phone call prior to your billing statement.
Users: All users must be at least 18 years of age with valid credit card, agree to terms and provide valid and legal contact information.
Privacy: All content, personal information, client databases and server access is confidential information and will not be shared or made public at anytime. In return, access to Molecule Connect content must remain private.
Material Ownership of Your Content: You retain ownership of the materials you upload to the Service. We are not responsible for any actions you take with respect to your Content, including sharing it publicly. Please do not use content from the Services unless you have first obtained the permission of its owner, or are otherwise authorized by law to do so.
Material Ownership of Our Content: You shall respect our proprietary rights in the Website and the content used and provided by Molecule Connect including patents, trademarks, service marks and copyrights.
Contact Lists: You represent and warrant that you either own or have permission to use all of the material in your Emails. Molecule Connect prohibits uploading social security numbers, national insurance numbers and private personal information.
Keep Your Password Secure: You are responsible for keeping your account name and password confidential. You are also responsible for any account that you have access to, whether or not you are authorized to use that account. You will immediately notify us of any unauthorized use of your accounts. We are not responsible for any losses due to stolen or hacked passwords.
Termination: You may close your Connect account at any time and for any reason by giving notice to the other party. We may suspend our Service to you at any time, with or without cause. If we terminate your account without cause, we will refund a portion of your monthly prepayment. Once terminated, we may permanently delete your account and all the data associated with it, including your emails from our Website. If you do not log in to your account for 12 or more months, we may treat your account as “inactive” and permanently delete the account and all the data associated with it.
Misuse: You may not misuse our Services by interfering with their normal operation, or attempting to access them using a method other than through the interfaces and instructions that we provide. Unless permitted, you may not deny others access or transmit any viruses, malware, or other types of malicious software. You may not engage in abusive or excessive usage. You may not use the Services to commit an unlawful activity. Unless authorized, you may not resell or lease the Services.
Unsubscribe: All communications published must include a safe unsubscribe link in accordance with CAN-SPAM acts. Molecule Connect provides validation for links and email addresses, but does not guarantee all content to be spam free and users are responsible for any CAN-SPAM violations.
Prohibited Content: Users are responsible for content and abiding by CAN-SPAM acts. Connect flags invalid emails, but prohibits third-party email lists and is not responsible for blacklisted servers.
Security Breach: In the event of a security breach that may affect you or anyone on your Email distribution lists, we will notify you within 24 hours via email or phone call.
Warranty Disclaimers: We are not liable for any behaviors or responses to campaigns, pages, advertisements or content made public through Molecule Connect.
Limitation of Liability: To the maximum extent permitted by law, you assume full responsibility for any loss that results from your use of the Website and the Services, including any downloads from the Website. We and our Team will not be liable for any indirect, punitive, special, or consequential damages under any circumstances, even if they’re based on negligence or if we have been advised of the possibility of those damages. Our total liability for all claims made about the Service in any month will be no more than what you paid us for the Service the month before.
Severability: If it turns out that a section of this Agreement is not enforceable, then that section will be removed or edited as little as necessary, and the rest of the Terms will still be valid.
Choice of Law: Any disputes with the following terms will be decided by the Choice of Law and jurisdiction of Polk County in the State of Iowa.
Campaign Event Details and Promotions: Molecule Connect creates and communicates events, contests and promotions and users are responsible for all services and products outlined in published materials and any injuries, damages, claims and costs included. All contests, competitions and digital rewards must be run in a professional and legal manner. Offers, coupons and digital rewards must follow all requirements specific to social media outlets and you are responsible for administrating and honoring promotions.
Third Party Beneficiaries: All third party access including Facebook, Twitter, LinkedIn and webpages are independent from Molecule Connect and we are not responsible for issues, delivery and functionality. By using third party services through Molecule Connect, you also agree to the individual terms of use.
Changes in Terms: Molecule Connect terms may change at any time and users will be notified.
